Service.
The agreement for our Web & Local Ranking work. Month-to-month, no long-term contract, a real 90-day guarantee, and plain language about who owns what.
These Terms of Service (“Terms”) govern the websites, products, and services provided by Relay 1 Marketing (“Relay 1,” “we,” “us,” or “our”), the marketing arm of the Relay 1 venture studio, including our Web & Local Ranking packages. By signing a service agreement with us, paying an invoice, or using our services or websites, you (“you,” “Client”) agree to these Terms. Where you have signed a separate written service agreement, that agreement controls if it conflicts with these Terms.
1. Our services
Relay 1 builds and manages websites and local search presence for home service businesses and other small businesses. We offer three packages, each a one-time build fee plus a monthly management fee:
- The Site. A custom, mobile-first website (up to five pages), custom domain, click-to-call and lead form, SSL, hosting, and ongoing edits.
- Site + Rank. Everything in The Site, plus branded business email, Google Business Profile optimization, AI-search (AEO) readiness, monthly Google Business Profile posts, monthly lead-tracking reporting, call and form tracking, unlimited content edits with a 48-hour edit turnaround, same-day human support, and the 90-day results guarantee described in Section 4.
- Full Local. Everything in Site + Rank, plus additional service and city pages (up to ten), additional Google Business Profile posts, monthly SEO articles, a full AEO content engine, AI-visibility tracking, automated review generation and monitoring, social auto-posting, done-for-you lead magnets, a monthly competitor report, a monthly strategy call, and missed-call lead-recovery texting.
Add-ons. You may add an AI Website Chatbot and/or an AI Voice Agent to any package. Add-ons are billed monthly at the listed rate.
The specific deliverables, quantities, and prices for your package are set out in the order or service agreement you sign. We may improve or adjust how a deliverable is provided as long as the package’s overall value is maintained.
2. Payment
- One-time build fee. Due upon signing. The build fee covers the first month of service.
- Monthly management fee. The recurring monthly charge begins 30 days after signing and recurs monthly thereafter, automatically, to the payment method on file.
- AI add-ons. If selected, add-ons bill immediately on signing and recur monthly.
- Currency and pass-through costs. All fees are in U.S. dollars. Usage-based third-party costs (for example, SMS or AI voice minutes tied to enabled add-ons) are passed through at cost.
- Late or failed payments. If a payment fails, we may pause work and suspend services until the balance is current. You remain responsible for fees accrued before suspension.
Payments are processed by our payment processor (Stripe). Except as provided by the guarantee in Section 4, the one-time build fee is non-refundable once the build has begun.
3. Term and cancellation
Our service is month-to-month with no long-term contract.
- Either party may cancel the monthly management with 30 days’ written notice. Email to hello@relay1.vc is sufficient.
- On cancellation, recurring billing stops at the end of the current paid period. We do not pro-rate or refund the current period.
- You may request transfer of your website on cancellation. Domain ownership stays with whoever registered the domain.
4. The 90-day guarantee
For the Site + Rank and Full Local packages: if, within 90 days of your site going live, you have not seen improvement over your baseline, we will continue management work at no additional monthly charge until that improvement is achieved.
- Baseline. Your current Google map-pack ranking and your current monthly call and lead volume, recorded by Relay 1 at onboarding. A measurable baseline is required for the guarantee to apply.
- Your cooperation is required. The guarantee requires that you have (a) granted requested Google Business Profile manager access, (b) provided requested assets and content, and (c) not made conflicting changes to the site or Google Business Profile.
The guarantee covers continued work, not a cash refund of fees already paid. It is our sole performance commitment. We do not guarantee specific revenue, lead counts, or rankings beyond the continued-work commitment described here.
5. Your responsibilities
To do the work well, we need you to:
- Provide accurate business information and assets, including logo, photos, services, and hours.
- Grant Google Business Profile manager access and domain or registrar access as needed.
- Review and approve work promptly so timelines and the guarantee window stay on track.
- Request only genuine customer reviews. No incentivized, fake, or solicited-for-discount reviews.
- Ensure you have the rights to any materials you give us to publish.
6. Ownership and intellectual property
On full payment, you own the website content and design deliverables we create for you under your package. Until deliverables are paid for in full, we retain ownership of the work product.
We retain ownership of our pre-existing tools, templates, code libraries, systems, and know-how used to produce the deliverables, and we may reuse them for other clients. The Relay 1 name, logos, and brand remain ours. We may feature the work we did for you as a portfolio or case-study example. You are responsible for the legality of any materials you provide to us.
7. Acceptable use
You agree not to use our services, or have us publish content, to:
- Break the law or infringe anyone’s intellectual property or privacy rights.
- Post false, deceptive, or misleading claims, or fake or incentivized reviews.
- Violate the terms or policies of platforms we work with, including Google and Meta.
- Send unlawful, unsolicited, or non-consented messages through any tools we provide, including SMS and email. You are responsible for obtaining the consents required to message your own contacts.
- Interfere with, probe, or attempt to gain unauthorized access to our systems, accounts, or networks.
We may refuse, remove, or suspend work that, in our reasonable judgment, violates this section, the law, or a third-party platform’s policies.
8. SMS and text messaging
If you provide your phone number and opt in, we may send you SMS text messages related to your inquiry, your audit, appointment scheduling and reminders, account and project updates, customer support, and, where you have agreed, occasional offers. Consent to receive text messages is not a condition of purchasing any product or service. Message frequency varies, and message and data rates may apply. We do not sell, rent, or share your phone number or SMS opt-in information with any third parties for their own marketing purposes. For full details, see our Privacy Policy.
9. Third-party services
Our services rely on third-party platforms, including GoHighLevel / LeadConnector, Stripe, and Google. Your use of those platforms is also subject to their terms and policies. We are not responsible for the availability, decisions, pricing, ranking algorithms, or policy changes of third parties, which are outside our control.
10. Disclaimers
Our services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that rankings, traffic, leads, or revenue will reach any particular level, or that our sites and services will be uninterrupted or error-free. Search and advertising platforms change their algorithms and policies, and those changes are outside our control. The 90-day guarantee in Section 4 is our only performance commitment.
11. Limitation of liability
To the fullest extent permitted by law, Relay 1 is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or lost goodwill, arising out of or related to the services. Our total liability for any claim is limited to the fees you paid to us in the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Relay 1 and its team from claims, damages, and costs (including reasonable attorneys’ fees) arising out of materials you provide, your use of the services, or your breach of these Terms or of any law or third-party right.
13. Termination and survival
Paid engagements may be canceled as described in Section 3. We may suspend or end access to our services if you breach these Terms or for any lawful reason. Provisions that by their nature should survive termination, such as ownership and intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
14. Governing law
These Terms and any service agreement are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Texas will have exclusive jurisdiction over any dispute, and you consent to venue there, except where applicable law provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of our services after an update means you accept the revised Terms. If you have a signed service agreement, changes to these Terms do not change the pricing or deliverables in that agreement unless we both agree in writing.
